Web Design Services Agreement

This Web Design Services Agreement (“Agreement”) sets forth the terms and conditions under which Forza Veloce(“Provider,” “we,” or “us”) agrees to provide web design, development, and related digital services to the client (“Client,” “you,” or “your”). By engaging our Services, you agree to the terms outlined in this Agreement.
1. Scope of Work
The specific scope of work, deliverables, features, and functionality for each project will be defined in a separate project proposal or statement of work (“SOW”) provided to the Client prior to commencement of work. The SOW becomes part of this Agreement once accepted by both parties.
Any work requested beyond the scope defined in the SOW will be considered additional work and may require a separate SOW or change order, along with associated costs, which will be communicated to the Client for approval before proceeding.
2. Project Timeline
Estimated project timelines will be provided in the SOW. While we make every effort to meet agreed-upon deadlines, timelines are estimates and may be affected by factors including:
- Timeliness of Client feedback and content delivery
- Scope changes or additional feature requests
- Third-party service availability and integration complexity
- Revisions beyond the included revision rounds
Delays caused by the Client (including but not limited to late content delivery, delayed feedback, or scope changes) may result in adjusted timelines. We will communicate any significant timeline changes promptly. Projects delayed by the Client for more than thirty (30) days beyond the scheduled completion date may be subject to re-scoping and additional charges.
3. Revisions and Approvals
Each project includes a defined number of revision rounds as specified in the SOW. For our Starter Website package, one (1) round of revisions is included. For custom projects, the number of revision rounds will be specified in the proposal, typically two (2) to three (3) rounds.
A “revision round” consists of a consolidated set of feedback provided by the Client at a single time. Feedback should be clear, specific, and consolidated. Additional revision rounds beyond what is included may be accommodated at an hourly rate of $75-$150 per hour, depending on the complexity of the changes.
The Client will be asked to provide formal written approval at key project milestones (design concept, development review, pre-launch). Approval at each stage confirms acceptance and allows us to proceed to the next phase.
4. Payment Terms
Payment terms for each project are as follows unless otherwise specified in the SOW:
- Deposit: 50% of the total project cost is due upon signing the Agreement and before work commences
- Final Payment: The remaining 50% is due upon project completion, before final deployment and asset delivery
- Large Projects: For projects exceeding $5,000, milestone-based payment schedules may be arranged
- Hosting or Care: Optional recurring fees begin when the selected service is activated, unless the SOW states otherwise, and renew on the applicable billing-cycle date
All payments are processed securely through Stripe. We accept major credit cards and bank transfers. Late payments are subject to a fee of 1.5% per month on the outstanding balance. We reserve the right to suspend work on active projects and withhold delivery of completed work for accounts with overdue balances.
5. Ownership and Intellectual Property
Upon receipt of full payment, the Client receives ownership of the final deliverables as defined in the SOW, including custom designs, page layouts, and content specific to the Client's project.
Forza Veloce retains ownership of:
- Proprietary code libraries, frameworks, and development tools
- Reusable components and templates that are not unique to the Client's project
- Pre-existing intellectual property and internal tools
- The right to display the completed project in our portfolio
Third-party assets (stock images, fonts, plugins, APIs) are licensed under their respective terms. It is the Client's responsibility to maintain valid licenses for any third-party assets after project completion.
For a manually verified and accepted BuilderMaxPro subscriber benefit, the private order may show a $99 Starter Website, a -$99 BuilderMaxPro benefit credit, and $0 due from the Client for the base build. The credit is non-transferable, has no cash value, and applies only to the Starter Website scope stated in the accepted order. The accepted credit constitutes full payment for that stated Starter Website scope. It does not pay for hosting, care, a domain, third-party fees, upgrades, or added scope. No card or recurring subscription is required to accept the credited base build.
BuilderMaxPro cancellation before Forza Veloce accepts the benefit request ends eligibility. Once Forza Veloce accepts the order and opens the project, a later BuilderMaxPro cancellation does not retract the credit, cancel the accepted build, or cancel any Forza Veloce service the Client elected separately.
6. Client Obligations
To ensure a successful project, the Client agrees to:
- Provide all necessary content (text, images, logos, brand guidelines) in a timely manner
- Designate a single point of contact for project communications and approvals
- Provide timely, consolidated feedback during each revision round
- Be the domain registrant of record, control the registrar account, and provide delegated access only when needed for configuration or launch
- Provide access to other required third-party accounts and services
- Ensure all content provided does not infringe on third-party intellectual property rights
- Review and approve deliverables at each milestone within five (5) business days
7. Warranties
Forza Veloce warrants that:
- All Services will be performed in a professional manner consistent with industry standards
- The delivered website will function as described in the SOW at the time of delivery
- We will not knowingly infringe on any third-party intellectual property rights
We provide a thirty (30) day warranty period after project launch during which we will fix any bugs or functional issues at no additional cost, provided the issues relate to our original deliverables and have not been caused by Client modifications or third-party interference.
We do not warrant or guarantee specific business outcomes, including but not limited to search engine rankings, traffic volumes, conversion rates, or revenue generation.
8. Hosting and Maintenance
Hosting is optional unless the SOW expressly requires it. The Client may choose standalone Forza hosting, a care plan that includes hosting, or a compatible third-party provider. Standalone hosting and hosting-inclusive care are alternative selections and will not be billed together for the same site and service period.
- Temporary private staging used during an active build is not a public hosting subscription or an uptime commitment
- Hosting or care subscriptions are billed monthly, renew automatically, and begin when activated unless the SOW states otherwise
- The Client may cancel hosting or care by written notice before the next renewal; cancellation takes effect at the end of the then-current paid billing cycle
- After hosting or care ends, a standard customer content/export package remains available for thirty (30) days; contract, consent, tax, accounting, security, and fraud-prevention records may be retained longer as described in our Privacy Policy
- We may discontinue hosting or care with thirty (30) days written notice, except where immediate suspension or termination is permitted for breach, non-payment, or security risk
- A standard site export and handoff is included when the Client uses another compatible host
- Hands-on migration, deployment, or provider-specific remediation beyond the standard handoff may be separately scoped and priced
- Uptime targets are commercially reasonable but we do not guarantee 100% uptime
- We are not responsible for downtime caused by third-party services, force majeure, or Client actions
- Hosting and care are separate from any unrelated software or partner subscription unless a written order expressly states otherwise
9. Confidentiality
Both parties agree to treat all confidential information disclosed during the engagement as strictly confidential. This includes business strategies, proprietary processes, client lists, and technical specifications. Neither party shall disclose confidential information to third parties without prior written consent, except as required by law. This obligation survives termination of the Agreement for a period of two (2) years.
10. Limitation of Liability
Forza Veloce's total liability under this Agreement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
For an accepted BuilderMaxPro benefit project, the $99 benefit credit recorded in the accepted order is included in the project value for this liability cap, together with any additional fees actually paid for that project.
11. Termination
This Section governs termination of the broader project and services Agreement. The Client's cancellation of optional recurring hosting or care is governed by Section 8 and may take effect at the end of the current paid billing cycle without thirty days' notice when submitted before renewal. Either party may terminate the remainder of this Agreement with thirty (30) days written notice. In the event of termination:
- The Client is responsible for payment of all work completed up to the termination date
- Non-refundable expenses incurred on behalf of the Client are the Client's responsibility
- Completed deliverables paid for will be transferred to the Client
- Any partially completed work may be delivered at our discretion upon full payment for work performed
Forza Veloce may terminate immediately if the Client materially breaches the Agreement, fails to make payments for more than thirty (30) days, or engages in conduct detrimental to our business.
12. Dispute Resolution
Any dispute arising from this Agreement shall first be addressed through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to binding arbitration under the rules of the American Arbitration Association. The arbitration shall take place in the State of Delaware, and the arbitrator's decision shall be final and binding.
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States.
13. Force Majeure
Neither party shall be liable for delays or failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government actions, cyber attacks, or failures of third-party infrastructure. The affected party shall provide prompt notice and use reasonable efforts to mitigate the impact.
14. Entire Agreement
This Agreement, together with any applicable SOW and our Terms of Service, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior negotiations, representations, and agreements. Amendments must be made in writing and signed by both parties.
